PESI PESA CAPITAL LIMITED REQUEST FOR PROPOSALS (RFP) COMPANY VALUATION, SHARE REVALUATION & CAPITAL STRUCTURE ADVISORY

Pesi Pesa Capital Limited invites suitably qualified and experienced professional firms/consultants to submit proposals to undertake an independent valuation of the Company, revaluation of existing shares and review of the Company's capital structure.

Scope of Assignment

•      Undertake an independent valuation of Pesi Pesa Capital Limited.

•      Provide a basis and recommendations for revaluation of the existing shares.

•      Verify and reconcile existing shareholder contributions to support the revaluation and their formalization.

•      Recommend an appropriate capital structure aligned with the Company's growth strategy and future capital-raising requirements.

•      Advise on a structure that accommodates future investment from existing and new investors.

A detailed Terms of Reference (TOR) will be provided as part of the engagement process. Proposal Requirements

•      A brief technical proposal demonstrating understanding of the assignment and proposed methodology/approach.

•      Proposed work plan and completion timeline.

•      Firm/consultant profile, relevant qualifications and experience in similar assignments.

•      Financial proposal clearly indicating professional fees, taxes and any other costs.

•      Details of the key personnel who will undertake the assignment.

•      Declaration of any potential conflict of interest.
